What is a board of directors?
A board of directors is the top executive management of a company, organisation or similar. All companies must have a board of directors. In limited companies and public limited companies (ASA), the board is elected by the shareholders at the general meeting. The board of a company has the main responsibility for ensuring that the company is managed in the best possible way.

Board work is about creating value for the company and its owners. Boards should have relevant and broad expertise and, through their work, ensure that the company and its operations are run and organised in a good and responsible manner.
The requirements and duties of the board of directors and the top administrative management of companies are becoming increasingly stringent. The consequences of failing to fulfil these requirements can be very serious and ultimately entail liability for the board members or executive management.
New legislation is constantly being introduced, which means that boards need expanded expertise. Examples include provisions on sustainability reporting. There are also new provisions on board composition to increase the diversity of Norwegian boards. It is therefore very important that board members are professionally updated and have the necessary expertise in the rules for board work.
